BPro Sports PVT. LTD.: Company Terms

Please read the following terms and conditions carefully before placing an order with BPro Sports PVT. LTD. By engaging in business with us, you agree to be bound by these terms. These terms are designed to ensure a clear and professional working relationship between BPro Sports and our valued customers.

1. General

• Agreement: These terms and conditions represent the final and complete agreement between the customer and BPro Sports. Any modifications or changes must be agreed upon in writing by an authorized representative of BPro Sports.
• Applicability: These terms apply to all sales of goods by BPro Sports, including standard stock items and custom-manufactured orders.

2. Orders and Customisation

• Order Placement: All orders, particularly bulk and custom orders, should be submitted via email to info@bprosports.com to ensure all details are accurately recorded.
• Order Confirmation: An order is not considered confirmed until BPro Sports has issued a formal sales order confirmation or invoice and has received the agreed-upon advance payment.
• Customisation Approval: For all custom orders (including team kits with specific logos, names, and numbers), BPro Sports will provide, at the request of the customer and upon customer provided technical specifications, either a detailed written list or by providing a sample of the product to be produced
  - a prototyped, physical sample ("échantillon") 
  - a digital mock-up or "tech pack"                                       for validation and approval.
  It is the customer's responsibility to review all details, including spelling, colours, and logo placement, for accuracy. Production will not commence until we have received a written approval of this prototyped sample or digital mock-up from the customer.
• Client-Supplied Artwork: The customer warrants that they have the legal right and permission to use any logos, trademarks, or copyrighted designs they provide to us for customisation. The customer agrees to indemnify BPro Sports against any claims of infringement arising from the use of such artwork.

3. Pricing and Payment

• Quotations: All price quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change without notice, but prices for confirmed orders will be honoured.
• Digital Mock-ups or Prototype Samples : mock-ups and prototype samples are charged at twice the unit price of the product concerned. 
• Payment Terms: For bulk and custom orders, a standard payment term of 50% advance payment is required to confirm the order and begin production. The remaining 50% balance is due upon completion of the order and prior to shipment.
• Payment Methods: We accept payment via bank wire transfer and other methods as agreed upon in writing. All payment details will be provided on the official invoice.

4. Production and Shipping

• Production Timeline: The estimated production lead time begins from the date of (a) written approval of the order mock-up or physical prototype and (b) receipt of the advance payment. The lead time provided is an estimate and can vary based on order complexity and volume.
• Shipping: All shipping costs, duties, taxes, and customs clearance fees are the responsibility of the customer unless otherwise agreed upon in writing (e.g., under DDP or EX-WORKS Incoterms).
• Transfer of Risk: BPro Sports is responsible for the goods until they are handed over to the designated shipping carrier. After this point, the risk of loss or damage transfers to the customer. We recommend customers arrange for shipping insurance.
• Delivery Delays: BPro Sports is not liable for any delays in shipment caused by third-party shipping carriers, customs authorities, or other circumstances beyond our direct control.

5. Returns, Cancellations, and Claims

• Custom Orders: Due to their personalised nature, custom-manufactured products are non-refundable and cannot be returned or exchanged. All sales of custom goods are final.
• Manufacturing Defects: In the unlikely event of a manufacturing defect, the customer must notify BPro Sports in writing with photographic evidence within 14 days of receiving the goods. We will assess the claim and, if the defect is confirmed, will offer to repair, replace, or provide a credit for the faulty items at our discretion.
• Order Cancellation: An order may be cancelled only before the production process has begun. If an order is cancelled after mock-ups have been created but before production, a service fee may apply. Once production has commenced, the order cannot be cancelled, and the advance payment is non-refundable.

6. Limitation of Liability

BPro Sports' liability for any claim arising out of the performance or non-performance of its obligations shall be limited to the value of the goods specified in the invoice. We shall not be liable for any consequential loss, loss of profit, or any other indirect damages.

7. Governing Law

These terms and conditions and any agreement between BPro Sports and the customer shall be governed by and construed in accordance with the laws of Pakistan. At the discretion of the customer, purchase contract can be signed under Belgium law adjusting the present Company Terms mutatis mutandis.

8. Intellectual Property and Copyright

• Ownership of Content: All content included on this website (https://bprosports.com/), including but not limited to text, graphics, logos, images, product designs, digital downloads, and the overall "look and feel" of the site, is the exclusive property of BPro Sports PVT. LTD. or its content suppliers and is protected by Pakistani and international copyright laws.
• Trademarks: The BPro Sports name, logo, and any related product and service names, design marks, and slogans are the trademarks or service marks of BPro Sports PVT. LTD. They may not be used in connection with any product or service that is not BPro Sports', in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits BPro Sports.
• Limited License: You are granted a limited, non-exclusive, and revocable license to access and make personal, non-commercial use of this website. This license does not include any right to reproduce, duplicate, copy, sell, resell, or otherwise exploit this website or any portion of it for any commercial purpose without the express written consent of BPro Sports PVT. LTD. Any unauthorized use terminates the permission or license granted by us.
